1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of Blackbook (“the Service”), a product operated by Dobry Consulting, LLC (“we,” “us,” or “our”). By creating an account, accessing, or continuing to use the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of Service
Blackbook is a private sales-deal ledger for individual sales representatives. It is not a CRM, not affiliated with your employer, and not a substitute for legal, tax, or employment advice.
3. Acceptable Use and Misuse
You agree not to misuse the Service. You must not: (a) use the Service for any unlawful, fraudulent, or deceptive purpose; (b) send spam or unsolicited messages; (c) infringe the intellectual property or privacy rights of others; (d) upload malware, viruses, or malicious code; (e) probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures; (f) scrape, crawl, or harvest data from the Service; or (g) attempt to reverse engineer, decompile, or interfere with the Service.
4. User Responsibilities
You are solely responsible for the accuracy of the information you enter, for maintaining the confidentiality of your account credentials, for complying with any employment, confidentiality, or non-solicitation agreements you have signed, and for ensuring that your use of the Service does not violate any applicable law or contract.
5. Intellectual Property
The Service, including all software, source code, designs, text, graphics, branding, logos, and documentation, is owned by Dobry Consulting, LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms and your subscription plan. You retain ownership of the deal data you create in the Service; you grant us a limited license to host, store, and process that data solely to provide the Service to you.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy.
7. Payments, Subscriptions, and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics for your subscription are governed by Paddle’s Buyer Terms, available at paddle.com/legal/checkout-buyer-terms. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time; access continues through the end of the current paid billing period. Refunds are handled in accordance with our Refund Policy. We may change pricing with reasonable notice.
8. Suspension and Termination
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if: (a) you materially breach these Terms; (b) your account is delinquent or payment fails and is not cured within a reasonable period; (c) we detect fraudulent activity, security risk, or abuse; or (d) you engage in repeated or serious violations of our acceptable-use rules. You may terminate your account at any time by cancelling your subscription and requesting account deletion. Upon termination, your right to access the Service ends, and your data may be deleted after a reasonable export window.
9. Service Availability and Warranties
The Service is provided “as is” and “as available.” We do not guarantee that the Service will be uninterrupted, error-free, or free from loss or corruption of data. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, Dobry Consulting, LLC shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability shall not exceed the fees you paid us in the twelve (12) months preceding the claim.
11. Governing Law
These Terms shall be governed by the laws of the state in which Dobry Consulting, LLC is organized, without regard to conflict-of-law principles.
12. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes means you accept the revised Terms.
